Comprehensive definitions of all terms and fields used in the Bizstats platform for business sales data collection and analysis.
Business Model
The overall structure or type of business. Options: Independent, Franchise / Licensed, Master Franchise, Corporate Division.
Categories
Up to three main sectors where the business earns more than 30% of its revenue. Identifies the primary industries the business participates in.
City
The main city in which the business operates, typically derived from the postcode.
Description
A brief summary describing what the business does, usually at least one sentence (e.g., 'Family-owned Italian restaurant with 30 tables').
Location Type
The type of location where the business operates. Options: Capital City Metropolitan, Capital City Outer Suburbs, State Regional, State Rural, International.
Name
The internal name of the business submission, used only by the broker and never displayed publicly.
Reference Number
A broker’s internal reference or stock number, used for managing their system records. Not visible publicly.
State
The state or territory where the business operates. Options: New South Wales, Victoria, Queensland, Western Australia, South Australia, Tasmania, Australian Capital Territory, Northern Territory.
Years Owned
The total number of years the current owner has operated the business.
Agreed Working Capital
The agreed net working capital amount (excluding inventory) included in the enterprise value of the sale.
EV Includes Working Capital
Indicates whether working capital was included as part of the enterprise value in the deal.
Earnout Details
A description of the earnout arrangement, outlining structure, terms, and conditions agreed between buyer and seller.
Earnout Included
Specifies whether an earnout was included in the deal as part of the total sale price.
Earnout Period Months
The duration of the earnout, expressed in months.
Earnout Value
The total monetary value of the earnout component of the transaction.
Freehold Value
The portion of the total sale price attributed specifically to freehold property or land.
Goodwill Value
The value assigned to intangible assets such as reputation, brand, or customer loyalty. Typically calculated as the difference between sale price and tangible asset values.
ID
A unique system-generated identifier (UUID) assigned to each sale or submission record for tracking purposes.
Includes Freehold
Indicates whether the transaction included ownership of freehold property.
Inventory Included
Indicates whether the business’s inventory was included as part of the sale.
Inventory Level
The level of inventory at the time of sale. Options: Normal, Higher, Lower.
Inventory Value
The dollar value of the inventory included in the sale.
Notes
Additional details, comments, or context about the transaction provided by the broker.
PPE Value
The value of physical plant, property, and equipment assets included in the sale, excluding inventory and freehold.
Private Commentary
Broker-only commentary that is not visible to the public or buyers.
Reason For Sale
The seller’s reason for selling the business, such as retirement, relocation, or lifestyle change.
Sale Price
The total price agreed for the transaction, including earnouts, inventory, PPE, working capital, and freehold (if applicable).
Sale Type
The structure of the transaction. Options: Business Sale, Share Sale.
Settlement Date
The official date the transaction settled and ownership was transferred (YYYY-MM-DD).
Time on Market
The total time, in days, that the business was listed for sale before a buyer was secured.
WIP Included
Indicates whether work-in-progress (unfinished contracts or projects) was included in the sale.
WIP Value
The total value of work-in-progress that was included in the transaction.
Assets Only Type
Specifies the types of assets included in an assets-only sale. Options: Stock only, PE only, Stock & PE.
Basis of Sale
The high-level basis for the transaction. Options: Going Concern, Assets Only.
EBIT
Earnings Before Interest and Tax (EBIT). One of the possible primary metrics for valuation.
EBIT Multiple
The multiple derived from dividing the sale price by EBIT. Used to benchmark valuation.
EBITDA
Earnings Before Interest, Tax, Depreciation, and Amortisation (EBITDA). Commonly used for business valuations.
EBITDA Multiple
The multiple derived from dividing the sale price by EBITDA. Indicates valuation relative to cash earnings.
EV/EBIT Multiple
The multiple of Enterprise Value divided by EBIT, used to evaluate profitability relative to EV.
EV/EBITDA Multiple
The multiple of Enterprise Value divided by EBITDA, used to evaluate cash earnings relative to EV.
Earnout Percentage
The percentage of the sale price represented by the earnout value.
Figures Used
Identifies the type of financial figures used in valuation. Options: Last 12 Months, Average Historical, Forecast, Other.
Future Projection
The projected financial trajectory of the business after the sale.
Going Concern Basis
The valuation approach used under a going concern. Options: Revenue Multiple only, Multiple of PEBITDA, Multiple of EBITDA, Multiple of EBIT.
Gross Profit
The gross profit (revenue minus cost of goods sold) used in the valuation.
Gross Profit Margin (%)
Gross profit expressed as a percentage of revenue.
PEBITDA
Proprietor’s EBITDA (earnings adjusted for owner/operator remuneration).
PEBITDA Multiple
The multiple derived from dividing sale price by PEBITDA. Used where proprietor-adjusted figures are primary.
Past Trend
Describes recent business performance. Options: Pre Revenue, Decline, Steady, Growth, High Growth.
Revenue
The annual revenue figure used in the sale valuation.
Revenue Multiple
The multiple derived from dividing sale price by revenue. Indicates valuation relative to sales.
Revenue Multiple Type
Specifies what the revenue multiple applies to. Options: Contract Value, IP Value, Royalty, Other.
Annual Rent
The annual rent amount, if the business operates from leased premises.
Contractors (FTE)
The number of contractors (in full-time equivalent terms) engaged by the business, excluding the owner.
Days Operated
The typical days the business operates. Options: Monday–Friday, Monday–Saturday, Seven Days, Other.
Employees (FTE)
The number of employees (in full-time equivalent terms) working in the business, excluding the owner.
Lease Involved
Indicates whether the business operates from leased premises.
Lease Term (Months)
The number of months remaining on the business’s lease at the time of sale.
Management Type
The management structure of the business. Options: Owner Operator, Manager.
Premises Size (sqm)
The approximate size of the business premises, measured in square meters.
Notes
General notes or commentary about the sale for additional context.
Private Commentary
Internal commentary for broker use only. Not displayed publicly.
Reason For Sale
Reason for sale captured for narrative completeness (same meaning as the field in Transaction Details).
Broker Company
The company or firm the broker represents.
Broker Email
Broker’s email address (required for final submission validation).
Broker Name
Full name of the broker associated with the submission (required for final validation).
Broker Phone Number
Broker’s contact phone number.
Broker Role
The broker’s role in the deal. Options: Lead Broker, Support Broker.
